Encompass Sign Systems, Inc.  Terms & Conditions

 Hello Customer, below are Encompass Terms and Conditions, please review and understand Encompass Terms & Conditions when proceeding with new projects.

Order Acknowledgment: Order acknowledgment (notice to proceed) initiated from Customer to Encompass via verbal, email, purchase order or contract, originating from Encompass Estimate(s) or proposals, together with the terms herein this agreement, will be deemed by Customer and Encompass as the final expression of their agreement and will be deemed by the exclusive statement of the terms hereof.

Submittals/Drawings/Project Setup: After receiving notice to proceed from Customer, Encompass will begin Submittals/Shop Drawings/Project Setup (Submittals).  Submittals are supplied with each order to secure and confirm Customers understanding and approval everything. Additional fees for converting Customer drawings, message schedules and related assets into usable art are invoiced hourly at $95.00 per hour. See footnotes on the Estimates. Artwork requirements are available upon request. All drawings, designs or schedules remain in the archived property of Encompass for future re-orders and may only be used for Customer review, reorder and/or Approval.  All other use is strictly prohibited. The customer is responsible for approving details, spelling, and dimensions. Production will only begin once these approvals are obtained via email.

Submittals consist of but are not limited to, Shop Drawings, Engineering, Layouts, Sign Schedules, Location Plans, Samples, and other various deliverables. Submittals are deliverables that contain Encompass Intellectual Property and have a value at 15% to 20% of each project total costs in Estimate or Confirming Order. The Submittal value is included within the total price of every item on Estimates, minimum orders have a minimum Submittal value of $250.00. All Submittals including drawings, layouts, engineering, programming, message schedules, location plans, etc. remain the property of Encompass, and may be used only for your review and approval. All other use is strictly prohibited. When Submittals are provided to Customers, the Customer is totally responsible for verifying and double checking all details on all items. Production will not begin until Customer has provided approvals for Submittals. If Submittals are not returned approved within 90-days of acceptance period price guarantee is void.

Samples/Prototypes: Samples of materials, workmanship and color may be supplied at no charge if requested. Specific samples that must be custom made will be supplied at regular prices. Samples for approval (when firm order is placed subject to the approval of the samples) are supplied no charge if the firm order is placed when the sample is requested, and later used as part of the final requirements (not remade). Remakes of samples for approval due to revisions of specs, lost or kept by owners, architects or designers will be billed at regular prices as part of the final order requirements. Each prototype minimum fee is $250.00 unless otherwise stated in formal estimate.

Minimum Order: Minimum order is $250.00. Certain specific products may carry a higher minimum order amount as shown in pricing information sheets. Previous Customers or sign types we have built previously, and we still have art or drawings; Minimum Order is $150.00

Prices: All prices are F.O.B. our factory unless specifically acknowledged otherwise. Shipping costs and sales taxes are additional, unless specifically acknowledged. Price Estimates to you are based on using our standard construction, letter styles, colors, and finishes, unless otherwise noted.

Price Changes: Estimates are firm for the quantities shown in Estimates when order is accepted and when delivery is to be made within a three-month period. In the case of extended deliveries (over three months) increases in raw materials and direct labor may be passed on to the buyer at actual cost + 30%. Prices are subject to change without notice before the order is offered and accepted.

Change Orders: All changes to orders previously acknowledged orders must be requested in writing and are subject to our approval. Additional or modified charges may be incurred, and you will be advised before changes are implemented.

Cancellations or Delinquent Accounts: Orders may not be terminated without written consent. A charge will be imposed to cover work partially completed. Submittals are 15% to 20% of each item total and are due from the Customer to Encompass in addition to any product costs that may have been completed.

Returns: Because we build custom products, no returns are allowed without our written consent. If Customer receives written consent from Encompass to return products, it is the Customers responsibility to safely package and return all items without damage. Encompass is not responsible for shipping damage on products caused by Customer negligence or shipping damage. Additional costs will be incurred if returned products are damaged from shipment.

Delivery/Lead Times: Delivery schedule is estimated from the date of receipt of Submittal Approval from Customer for all Submittals items including but not limited to; shop drawings, messages, locations, samples, etc. and will be subject to Encompass production schedule at the time of manufacture.

Shipping: Unless complete and specific instructions are provided by the Customer, Encompass will ship products using best method/best practice. Encompass is not in any way responsible for logistic delays beyond our control.

Payment Agreement: Payment terms are NET 10 (ten) days from date of invoice with established accounts. This means that payment in full is due for all orders ten days after the date of receiving an invoice. Products are invoiced in progress billing method or at the time of shipment. In phased projects progress, the billing method is used for when raw materials or finished materials are stored or completed in our warehouse. Orders without an established account and all initial orders will be shipped COD. Without an established account, Encompass may request an advance payment or deposit as we deem necessary. Orders of $5,000.00 or more will allow for progress payments from client for stored materials (finished or unfinished) as Encompass may need to buy all materials to secure unit prices offered to client(s).

Late Payment Penalty: In the event a Customer fails to pay the invoiced amounts within the time specified in Payment Agreement, a late payment charge of 1.5 percent per month (18 percent APR) or the maximum lawful rate shall be payable in addition to invoice amount on all past due accounts. The Customer also agrees to pay all costs related to collections, including reasonable attorneys’ fees, liens and miscellaneous court filing fees in the event payment in full is not received as contingent upon suit being filed by Encompass or on Encompass behalf.

Liens: Encompass and all of its vendors that have provided deliverables for Customer project(s) have the right to file builders or material liens against the building or property the deliverables were delivered to or installed at, if payment in full is not received within 60 days after receipt.

Material Acceptance: All claims for damage, defects, errors, or shortages must be made within seven days (7) of order delivery. Failure to do so shall constitute acceptance and a waiver of any defects, errors, or shortage claims.

Security Interest: Title to goods transferred under this agreement will remain with Encompass Sign Systems Inc., until payment in full is made by Customer.

Waivers: Encompass failure to enforce at any time any of the provisions hereof shall not be construed to be a waiver of such provisions or of the right of Encompass to enforce any such provisions through Civil action.

Warranty L/1/90: Encompass Sign Systems, Inc. offers a “Life-of-the-Property” warranty on the tactical components of the Dura-Press, Sure-Press and Raw-Press products. Warranties are limited to the products that it manufactures and will be repaired or replaced at our option if found to be defective in materials or workmanship.  Encompass offers a 1-year limited warranty on our workmanship for all the Products manufactured by Encompass. Warranties are limited only to Products Encompass manufactures and will be replaced at our option if found to be defective workmanship. Electronics, Consumables, and products not manufactured by Encompass a 90-day warranty from the manufacturing date and supersede Encompass one-year warranty. These components are subject to extra labor charges by Encompass or our vendors if the labor to replace defective components is beyond our 90-day warranty period. Encompass 1/90 warranty program does not cover repairs because of vandalism, extreme weather damage, incorrect cleaning, or other misuse. No warranty is offered on damage to products, walls or other consequential damage caused using Encompass products. Product invoices must be paid in full to be covered by any replacement warranty.

Estimates: Estimate prices are valid for 30 days, unless stated otherwise. Encompass is not responsible for take-offs, errors or discrepancies on estimates regarding quantities or sign types. Please double check estimates for accuracy and/or discrepancies, contact sales or estimating immediately if you discover an error and we will promptly adjust.

Over-Under Runs: Where more than 50 identical parts are to be provided, Encompass reserves the right to overrun and invoice by 10 percent more unless noted “no under run” on Estimates or Confirming Orders.

Storage: If delivery of products cannot be accepted from Customer upon the acknowledged due date,
Encompass reserves the right to store products at an additional price to Customer. Additional price will be assessed based on product(s) and communicated to Customer. Encompass will issue updated invoices to Customer when products are placed in storage.

Transit Claims: Encompass is not responsible for damage suffered in transit. All products are photographed prior to shipment and meet Encompass Quality Control Standards when accepted by 3rd party logistics companies. Customer must notify Encompass and file claims within five days for all damages loss or to packages, products, or shipments. Under no circumstances shall Encompass liability exceed the price for defective products or materials. All packages and products are insured for their full value when shipped. Shipments received from Encompass must immediately be inspected for physical damage. Any visible damage to packages or crate(s) must be photographed, documented, and reported within 24 hours. Shipping damage claims made past 24 hours may result in rejection of damage claim and possible back charges. ALL shipments received must be opened, inspected, and accounted for. Confirm contents of each package against Bill of Lading or against PO/SOW. Encompass MUST be informed of any damage to products or missing products, hardware, parts or pieces within 48 hours. Claims made from you past 48 hours may result in rejection of claim and back charges.

Manufacturing: Encompass reserves the right to make, without notice, specification, material substitutions or amendments that do not significantly alter product appearance or quality.

Photographs: Encompass maintains a photographic file of completed sign pieces. Encompass may display examples of its work to the public, including images of Buyer’s signage, upon final installation.

Product Care & Maintenance Instructions

Interior Acrylic, Polycarbonate, Composite, or Metal Signs, Letters or Products – Non-Illuminated

Cleaning: To maintain warranties, for the best performance and appearance, we recommend that you clean all interior sign products every 6 months or as needed.

Procedure for Cleaning: Use a mild, soapy mixture such as Dawn dish soap and water (3 to 5 grams or 1 small cap full of dish soap to 1 gallon of water) free of strong aromatic solvents or alcohols.  Wash from top-down avoiding abrading the surface with unnecessary scrubbing.  Once the soapy water has been applied, wipe the surface with a clean cotton cloth to wash away any dirt or film residue.  Rinse entire sign face with clean water and dry with a clean cotton cloth or non-abrasive paper towel.

Any petroleum or alcohol base solutions will damage the paint and base material and are NOT an approved product for cleaning.  Such products may be used at your own risk and painted carefully to remove sharpie markings, ballpoint pen and some spray paint.  However, these products must be wiped off quickly leaving on for long periods will damage the paint and will void warranty. It is recommended to always test for compatibility in a non-visible area of the sign.

Never power wash signs with any commercial grade cleaners or high-pressure spray as this may damage painted surfaces and strip paint away from the surface.

Electrical Sign Maintenance & Cleaning

WARNING /NOTICE: EXTREME CAUTION NEEDS TO BE USED WHEN CLEANING OR SERVICING ANY ELECTRIC SIGNS AS THESE MAY CAUSE SHOCK, SEVERE INJURY OR DEATH IF SERVICED OR CLEANED IMPROPERLY. WE RECOMMEND CLEANING AND SERVICE BY SERIGRAPHICS SIGN ONLY.

Service: If experiencing electrical problems with our various electrical products do not attempt to repair them without specific instructions from your representative. Always consult us for instructions prior to attempting to repair any lighting problems yourself. If you feel you can service the products, first be sure to turn off all electrical power going to the sign from the fuse box or disconnect switch on the sign or breaker prior to attempting to repair. The most common service problem for electrical signs is power supplies, LED or controller failures. Most sign components can be replaced quickly through our customer service department or your local electrical supply store.

Procedure for Cleaning: Never allow water or cleaning solvents to meet the electrical components of the sign since this may cause shorts or corrosion to the electrical components. Completely dry all electrical components with air or a dry cloth before restoring power. Use a mild, soapy mixture such as Dawn dish soap and water (3 to 5 grams or 1 small cap full of dish soap to 1 gallon of water) free of strong aromatic solvents or alcohols.  Wash from top-down avoiding abrading the surface with unnecessary scrubbing.  Once the soapy water has been applied, wipe the surface with a clean cotton cloth to wash away any dirt or film residue.  Rinse entire sign face with clean water and dry with a clean cotton cloth or non-abrasive paper towel.

Cleaning: For the best performance and appearance, we recommend that you clean all interior sign products every 6 months or as needed. This will help to keep them looking great.

Procedure for Cleaning: Use a soft, clean lint free cotton cloth or non-abrasive paper towel for cleaning Digital Prints. It is not recommended to use water or any other cleaning solution directly on the surface of Digital Prints. If liquid cleaning is required to remove smudges and fingerprints; Use a mild, soapy mixture such as Dawn dish soap and water (3 to 5 grams or 1 small cap full of dish soap to 1 gallon of water) free of strong aromatic solvents or alcohols. Lightly spray or dampen a clean lint free cotton, softly wipe, or wash from top-down avoiding abrading the surface with unnecessary scrubbing or abrasive efforts of the Digital Prints. Test the cleaning solution in a less visible area for compatibility before final cleaning.

Any petroleum or alcohol base solutions will damage the paint and base material and are NOT an approved product for cleaning.  Digital Prints with laminates may accept such products and may be painted carefully to remove sharpie markings, ballpoint pen and some spray paint at your own risk and not covered by warranty. More aggressive cleaning products for laminated surfaces must be tested for compatibility in a non-visible area of the sign.

Exterior Painted Signs, Letters & Products – Non-Illuminated

Cleaning: To maintain the warranty and ensure top performance and appearance of your products, we recommend that you clean all new exterior painted sign products every 12 months. This is required for all exterior painted products with extended warranties exceeding 1 year and must be completed annually for every year of the warranty period. However, do not clean new signs prior to or before 30 days as paint curing may not be complete. Cleaning logs and date/time stamped photo documentation is required for all exterior painted products with warranties exceeding 1 year. Paint warranties 3 years or greater require waxing of all surfaces using methods described herein.

Painted Surfaces – Cleaning Instructions

The maintenance and care of a painted or clear coated Acrylic Polyurethane surface should utilize commercially available non-abrasive cleaners and polishes/waxes recommended for finishes exposed to the environment.

For new finishes it is recommended to wait at least 30 days after painting before any cleaning, polishing, or waxing* is attempted to allow the finish to fully cure.

Fully cured finishes should be routinely cleaned to remove dirt, hard water spots/staining, or other forms of environmental or biological contamination. *Caution: Although polishes or waxes can be used to clean and protect gloss finishes, their use over low-gloss finishes may result in an increased gloss level.

Paint Finish Maintenance Remove animal droppings or tree sap upon discovery, as they can do permanent damage to the finish. Use mild detergent water solution utilizing a soft wash mitt or cloth followed by a thorough clean water rinse. Dry with a damp chamois, microfiber towel, or soft cloth.

Full gloss finishes: if polishing or waxing is desired, apply with a soft, damp, cloth-covered sponge, and buff with a soft microfiber cloth. Procedure best performed in the cooler hours of the day, avoiding direct sunlight if possible.

Low-gloss finishes: polishing or waxing is generally NOT recommended. If polishing or waxing is desired, be sure to use a product specifically designed for low gloss finishes and follow all the manufacturer’s recommendations. Always test the product in an inconspicuous area before using it on the entire surface.

Also:

  • Do not wash*, polish or wax a finish that is less than 30 days old.

  • Do not use abrasive detergents or harsh chemicals to clean surface.

  • Exposure to water sprinklers on the painted surface can cause hard water stains.

  • Use caution when cleaning painted surfaces with a pressure washer. DO NOT use pressure washers that exceed 1,000 psi.

  • Do not use a mechanical polisher or buffer on low-gloss finishes.

  • For low-gloss finishes, do not use any type of wax, polish, or any other product made for full gloss finishes.

  • Once a low-gloss finish has become damaged or glossy, the original low-gloss appearance cannot be restored without refinishing.

  • Do not use chemical cleaners on acrylic or polycarbonate.

Precautions: *If necessary, gently wash the new finish with clean water and a soft wash mitt and dry immediately.

Polish procedure for painted surface (beyond 3 years)

To maintain paint warranties that are 3 years or greater you may need to polish all painted finishes when signs of oxidizing are noticeable or every 3 to 5 years. We recommend the following 3-step procedure for polishing painted surfaces.

1 - GATHER MATERIALS 

Drying towels, applicator pads, polishing compound, pads, polish removal towels

2 - WASH ALL PAINTED SURFACES AS DETAILED IN PREVIOUS SECTION(S)

Because Acrylic Polyurethane is used for all painted surfaces, it's important to thoroughly clean its surface before you start the process. Wash painted surfaces per previous steps along with microfiber cloth or other approved cleaning steps to remove dirt, oils, and insect parts from the surface of your painted surfaces. Look at all painted surfaces closely to ensure they are clean of residue or sticky substances.

3 - POLISH

Once your painted surfaces are washed you may proceed to polishing. A polish has actual cutting compound in it and is made to remove swirl marks, fine scratches and haze or oxidization by cutting into and creating a new sheen surface. Most polishes do not have wax in them and are strictly a compound for shining. The best way to approach the polishing of your painted surfaces is to conduct research to determine the least aggressive polish/pad combination to get the results you are trying to achieve. For assistance with choosing proper polish/pad combinations consult with your Sales representative. Your paint surfaces are relatively soft, which require the least aggressive methods of polish and pad combinations. Multiple polish & pad combinations can be used to restore surfaces to new if tested and applied properly. After determining and purchasing polish/pad combination pick a small, hidden area of painted surface to test polish/pad combination on first. If it works to your satisfaction, then continue with the rest of the painted surface. If you still need more cut, then step up to slightly more aggressive polish/pad combination to get the results you are trying to achieve. If you still need more then use the same polish with an orange pad (and so on). When you switch polishes during your testing, be sure to grab a fresh, clean pad so you are not mixing polishes.

Keep in mind that when you’re working with single stage paints, you will get color transfer onto your pads and microfiber towels, so don’t be alarmed, this is normal. Be sure to use fresh pads regularly throughout the process to ensure that you are getting the best results. For each polishing step (same polish) around the painted surface, you can expect to use multiple pads.

Always be careful around seams, edges, and high spots and tape them up accordingly because the paint is at its thinnest in those areas. Do not aggressively over polish your pained surfaces the manufacture finishes are between 1.3 to 3mils thick. With single stage paints, they also tend to oxidize over time, which means you’ll want to perform this occasional light polishing procedure every 4 to 5 years. Once you’re finished with polishing, you can clean with a soft microfiber cloth.

Precautions: *If necessary, gently wash the new finish with clean water and a soft wash mitt and dry immediately.
